These Terms of Service ("Terms") govern your access to and use of the website tulsix.com, products (including CAPilot), and services provided by TulsiX Technologies Private Limited ("TulsiX", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 (CIN: U62010UW2026PTC251073), with its registered office at Mathura, Uttar Pradesh, India.

By accessing our website or using our services, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

• "Services" means all software products, SaaS platforms (including CAPilot), web applications, consulting services, and any other services offered by TulsiX.
• "Product" means CAPilot and any other software application developed and offered by TulsiX.
• "Content" means all text, images, data, code, designs, and other materials available on or through our website and services.
• "User Data" means any data you input, upload, or generate while using our products.

2. Eligibility

You must be at least 18 years of age and capable of entering into legally binding contracts under the Indian Contract Act, 1872, to use our services. By using our services, you represent that you meet these requirements.

3. Services We Provide

TulsiX Technologies offers:

• CAPilot: A SaaS practice management platform for Chartered Accountant firms, available at capilot.tulsix.com.
• Custom Software Development: Bespoke web applications, SaaS platforms, and digital products built to client specifications.
• Technical Consultancy: Architecture reviews, technology selection, and technical roadmap advisory.
• UI/UX Design & Frontend Development
• Cloud & DevOps Services
• API & Integration Development

4. User Accounts

• When you create an account on any TulsiX product, you are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at contact@tulsix.com if you suspect unauthorized access to your account.

5. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to our systems, servers, or databases.
• Reverse engineer, decompile, or disassemble any part of our software.
• Transmit viruses, malware, or any harmful code through our services.
• Use our services to infringe on the intellectual property rights of others.
• Resell, sublicense, or redistribute our products without written authorization.
• Scrape, crawl, or use automated tools to extract data from our website or services without permission.

6. Intellectual Property

• All content on tulsix.com, including logos, text, graphics, code, and design, is the intellectual property of TulsiX Technologies Private Limited and is protected under the Copyright Act, 1957 and applicable intellectual property laws.
• The name "TulsiX", the TulsiX logo, and "CAPilot" are trademarks of TulsiX Technologies Private Limited.
• You may not use, copy, modify, or distribute any of our content without prior written consent.
• Your Data: You retain ownership of all data you input into our products. We do not claim ownership of your data.

7. Custom Development Projects

For custom software development engagements:

• Specific terms including scope, deliverables, timelines, payment schedules, and IP ownership will be defined in a separate Statement of Work (SOW) or Service Agreement.
• In the absence of a separate agreement, TulsiX retains ownership of all source code, design assets, and technical architecture until full payment is received.
• Upon full payment, IP ownership transfers to the client as specified in the SOW.

8. Payments & Billing

• Pricing for our products and services will be communicated before engagement or displayed on the relevant product page.
• All prices are in Indian Rupees (INR) unless otherwise stated.
• GST and other applicable taxes will be charged as per Indian tax laws.
• Payments are due as per the terms specified in the invoice or service agreement.
• For subscription-based products (like CAPilot), billing cycles and terms are communicated at the time of subscription.

9. Service Availability & Uptime

• We strive to maintain high availability for all our products but do not guarantee 100% uptime.
• Scheduled maintenance will be communicated in advance where possible.
• We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, hosting provider issues, natural disasters, or cyber attacks.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• TulsiX Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.
• Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you to TulsiX in the 12 months preceding the claim.
• We do not warrant that our services will be error-free, uninterrupted, or free from security vulnerabilities.

11. Indemnification

You agree to indemnify and hold harmless TulsiX Technologies, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services in violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Any data or content you submit through our services.

12. Third-Party Links & Services

Our website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Accessing them is at your own risk.

13. Termination

• We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice.
• You may discontinue using our services at any time.
• Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including IP, liability, and indemnification) will continue to apply.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in Mathura, Uttar Pradesh, India.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, and any applicable SOW or Service Agreement, constitute the entire agreement between you and TulsiX Technologies.
